Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and the operator of Tally, based in Melbourne, Australia ("Tally", "we", "us", "our"), governing your access to and use of the Tally websites, applications and services (the "Service"). Tally is a pre-launch venture; our formal business registration details (including our ABN) will be published once registered. By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility & access

You must be at least 18 years old and able to form a binding contract. Access is currently by invitation/allowlist only; we may grant, refuse, or revoke access at our discretion. You are responsible for ensuring your use of the Service is lawful in your location.

3. The service (pre-launch / beta)

Tally is in active development and offered on a pre-launch / beta basis. Features may change, break, be added or removed, and the Service may be unavailable at times. We may modify or discontinue all or part of the Service at any time without liability to you. You should not rely on the Service as your sole record of any financial information.

4. Not financial, tax or legal advice

The Service presents and analyses information about your own finances. It does not provide financial product advice, investment advice, credit assistance, tax advice, accounting or legal advice, and it does not take into account your objectives, financial situation or needs. Categorisations, budgets, net-worth figures, loan models, forecasts and AI-generated insights are estimates and illustrations only, may contain errors, and must not be relied upon for decisions. Before acting, verify the underlying data and obtain advice from a licensed professional. We are not your financial adviser, accountant or broker, and we are not liable for decisions you make using the Service.

5. Your account & security

You sign in through Google. You are responsible for maintaining the security of your Google account and device, and for all activity under your account. Notify us promptly at hello@tallyio.com.au if you suspect unauthorised access. You authorise us to access bank, email and calendar data only to the extent you connect those integrations and grant consent, and you may withdraw that consent at any time.

The Service relies on third parties including your bank, our accredited Consumer Data Right partner, Google, Anthropic and Cloudflare. Your use of those services is subject to their own terms and privacy policies. We are not responsible for third-party services, their availability, or their acts or omissions, and we are not liable for loss arising from them. CDR data is also subject to the consents and rules described in our Privacy Policy.

8. Data accuracy

Data is imported from third parties and processed automatically, including by AI. It may be delayed, incomplete, miscategorised or incorrect. The Service is provided to assist you, not to serve as an authoritative or official financial record. Your bank's records prevail over anything shown in Tally.

9. Fees

The Service is currently provided free of charge during the pre-launch period. We may introduce fees or paid plans in future; any fees, and the terms that apply to them, will be disclosed before they take effect, and you may choose not to continue.

10. Intellectual property

We and our licensors own all intellectual property rights in the Service, including its software, design, and content (excluding your data). We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal household use in accordance with these Terms. You retain all rights in the data you provide or connect; you grant us the limited licence necessary to host and process that data to operate the Service for you.

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. By using the Service you consent to that handling.

12. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that data will be accurate or preserved. This clause is subject to section 14.

To the maximum extent permitted by law, and subject to section 14:

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law) or any other law that cannot lawfully be excluded. Where our liability for a failure to comply with a consumer guarantee can be limited, our liability is limited, at our option, to re-supplying the relevant service or paying the cost of having it re-supplied. The disclaimers and limits in sections 12 and 13 apply only to the extent the law permits.

To the extent permitted by law, you agree to indemnify and hold us harmless from claims, losses, liabilities and reasonable costs arising from your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right, except to the extent caused by our own breach or negligence.

16. Suspension & termination

You may stop using the Service and ask us to close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required to protect the Service or other users, or if we discontinue the Service. On termination, your licence ends; the sections that by their nature should survive (including 4, 7, 8, 10, 12–15, 18 and 19) will survive.

17. Changes to these terms

We may update these Terms as the Service evolves. We will post the updated version with a new "Last updated" date and, for material changes, take reasonable steps to notify you. Continued use after changes take effect means you accept the updated Terms.

18. Governing law

These Terms are governed by the laws of Victoria, Australia. You and we submit to the non-exclusive jurisdiction of the courts of that State and the Commonwealth of Australia.
